1. Agreement to Terms

These Terms and Conditions ("Terms") govern your use of the website operated by Atrium Media LLC ("Atrium Media," "we," "us," or "our") located at atriummedia.com and any related subdomains, as well as your engagement with our services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Services

Atrium Media provides social media marketing services for recording artists and music industry professionals, including but not limited to content strategy, content creation, social media management, paid advertising campaign management, and brand development. The specific scope, deliverables, and terms of any service engagement will be defined in a separate Client Service Agreement between Atrium Media and the Client.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to active clients.

3. Eligibility

By using our website and services, you represent that you are at least 18 years of age and have the legal authority to enter into binding agreements. If you are acting on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

4. User Accounts and Access

Certain features of our services may require you to provide account access to third-party platforms (such as Meta Business Suite, Instagram, TikTok, or Spotify). You are responsible for maintaining the security of your accounts and credentials. We will never ask for personal login passwords. All platform access will be granted through official partner or agency access methods.

5. Intellectual Property

All content on our website — including text, graphics, logos, images, designs, and software — is the property of Atrium Media LLC or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on our website without our prior written consent.

Regarding client work: intellectual property rights related to content created during a service engagement are governed by the applicable Client Service Agreement.

6. User Content and Submissions

When you submit information through our website (including application forms, contact forms, or email sign-ups), you grant Atrium Media the right to use that information for the purpose of responding to your inquiry, evaluating your application, and sending you marketing communications you have consented to receive.

You represent that any information you provide is accurate and that you have the right to share it with us.

7. Payment Terms

Pricing, payment schedules, and billing terms for our services are outlined in the applicable Client Service Agreement. All fees are billed in U.S. dollars. Late payments may result in service suspension as defined in the Client Service Agreement. We use Stripe for payment processing, and by providing payment information, you agree to Stripe's terms of service.

8. Limitation of Liability

To the fullest extent permitted by law, Atrium Media LLC, its members, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our website or services, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claim arising under these Terms or any Client Service Agreement shall not exceed the total fees paid by you to Atrium Media in the three (3) months immediately preceding the event giving rise to the claim.

Digital marketing results are influenced by factors beyond our control, including platform algorithm changes, audience behavior, market conditions, and competitor activity. While we use best efforts to achieve the results outlined in our service agreements, we do not guarantee specific outcomes except as explicitly stated in a signed Client Service Agreement.

9. Indemnification

You agree to indemnify, defend, and hold harmless Atrium Media LLC, its members, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or related to your use of our website or services, your breach of these Terms, any content or materials you provide to us, or any violation of applicable law or third-party rights.

10. Confidentiality

Both parties agree to keep confidential any proprietary information, business strategies, financial data, login credentials, analytics data, and other sensitive information exchanged during the course of a service engagement. Confidentiality obligations survive termination of the relationship for a period of two (2) years. This does not apply to information that is or becomes publicly available through no fault of the receiving party.

11. Termination

We reserve the right to suspend or terminate your access to our website at any time for any reason, including violation of these Terms. Termination of services is governed by the applicable Client Service Agreement.

12. Third-Party Platforms and Links

Our services involve the use of third-party platforms including but not limited to Meta (Facebook/Instagram), TikTok, Spotify, Google, and YouTube. We are not responsible for the terms, policies, availability, or actions of these platforms. Changes to third-party platform algorithms, policies, or services may impact the delivery or performance of our services.

Our website may contain links to third-party websites. We are not responsible for the content, privacy practices, or terms of any third-party websites.

13. Disclaimer of Warranties

Our website and services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our website will be uninterrupted, error-free, or free of harmful components.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall first be addressed through good-faith negotiation. If a dispute cannot be resolved through negotiation within thirty (30) days, the parties agree to submit to the exclusive jurisdiction of the courts located in Lancaster County, Pennsylvania.

15. Force Majeure

Neither party shall be liable for delays or failures caused by events beyond their reasonable control, including but not limited to platform outages, natural disasters, government actions, pandemics, internet disruptions, or acts of war or terrorism.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

17. Waiver

The failure of either party to enforce any provision of these Terms shall not constitute a waiver of that party's right to enforce that provision or any other provision in the future. All waivers must be in writing.

18. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.

19. Entire Agreement

These Terms, together with our Privacy Policy and any applicable Client Service Agreement, constitute the entire agreement between you and Atrium Media regarding the subject matter herein and supersede all prior discussions, proposals, and agreements.

20. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will update the "Last Updated" date at the top of this page. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.
